I am very happy to announce that Hazel-Ann Mayers has been promoted to the position of Chief Compliance Officer of CBS Corporation, effective December 17, 2009.  Hazel will succeed Marty Messinger, who has held this position since the inception of our Company on December 31, 2005.  Marty will continue in his role as Television Stations Group General Counsel and will continue to report to Jonathan Anschell.  

Hazel has been with our Company since July 2003.  She is a graduate of the Harvard Law School and began her practice at Willkie Farr & Gallagher LLP and Proskauer Rose LLP prior to joining us.  She will continue to be a member of the litigation group, reporting to Anthony Bongiorno.  For Compliance purposes, she will report to both Leslie Moonves and me.  

Hazel has been our Deputy Compliance Officer since 2006 and has reported to Marty in this capacity.  Hazel has impressed Marty and me with her brilliance in conducting internal investigations and her comfort level in working with many different parts of the Company.  She has distinguished herself in every Compliance matter in which she has worked and has been cited for her tenacity and good judgment.
